Key Facts About a Balance Confirmation Letter UAE
- Definition: a signed statement by a debtor that a stated sum is owed on a stated date.
- Main use: proof of the debt and of its amount.
- Not an order: it does not bind a court and does not become executory on its own.
- Evidence rules: Federal Decree-Law No. 35 of 2022 on Evidence governs proof in civil and commercial cases.
- Electronic form: electronic documents and signatures are generally admissible, under Federal Decree-Law No. 46 of 2021.
- Best timing: at year-end, before a settlement, before a claim and before the debt grows old.
- Stronger version: a notarised acknowledgement of debt, if it meets the notary’s conditions.

What Is a Balance Confirmation Letter?
It is a simple document. The creditor states the balance in its books. The debtor checks it against its own records and confirms or corrects it.
There are two main uses.
| Type | Who sends it | Purpose |
|---|---|---|
| Audit confirmation | An auditor, with the client’s consent | To verify balances for the financial statements |
| Debtor confirmation | The creditor | To obtain the debtor’s written agreement to the amount owed |
This guide covers the second type. It is a credit control and evidence tool.
Why It Matters Under UAE Law
Proof is the core of every debt claim. Federal Decree-Law No. 35 of 2022 sets the rules of evidence in civil and commercial matters. Commentary on the law points out three useful rules.
- Writing is expected for larger transactions. Commentary cites Article 66, which generally requires writing for transactions above AED 50,000 or of indefinite value. Witness evidence alone is restricted in those cases.
- Electronic evidence counts. Commentary cites Article 53, which recognises electronic documents, signatures and emails as evidence.
- Admissions help. A debtor’s written statement that a sum is owed is strong proof against that debtor.
In addition, Federal Decree-Law No. 46 of 2021 on electronic transactions says a document cannot be rejected as evidence merely because it is electronic. You can read the official text of the Evidence Law on the UAE legislation portal.
What a Balance Confirmation Can and Cannot Do
It can:
- Prove the amount the debtor accepts
- Reduce arguments about missing invoices
- Support a payment order for a fixed, due debt
- Support a settlement or payment plan
- Help show an acknowledgement of the debt, which can matter for time limits
It cannot:
- Create a debt that does not exist
- Replace your contract or proof of delivery
- Force the debtor to pay
- Become an enforceable court order on its own
Therefore, keep it as one piece of a full evidence file.
Balance Confirmation vs Statement of Account vs Acknowledgement of Debt
The terms are often confused.
| Document | What it is | Who signs | Evidence value |
|---|---|---|---|
| Statement of account | Your record of invoices and payments | You | Moderate. It is your own record |
| Balance confirmation | Debtor’s confirmation of the balance | The debtor | Strong |
| Acknowledgement of debt | Debtor’s promise to pay a stated sum | The debtor | Strong, and may include a repayment date |
| Notarised acknowledgement of debt | An acknowledgement signed before a notary | The debtor | Stronger. It may help with fast enforcement if it meets the conditions |
Some notary guidance says a debt acknowledgement should state only the amount and the promise to pay, without the reason for the debt, and that the debt should be traceable through a licensed bank transfer. Notary rules differ, so check the current conditions with the notary or a lawyer before you rely on it.
When to Send a Balance Confirmation Letter
Send one at these moments.
- At year-end, to confirm balances for your accounts
- Before a settlement, so both sides agree the starting figure. See our guide to a debt settlement agreement in the UAE
- Before a legal notice, so the amount is clear. See our guide to a legal notice for payment in the UAE
- When a debt is getting old. See our guide to the debt limitation period in the UAE
- Before you sell or assign a debt. See our guide to debt assignment in the UAE
- When payments are slowing, as an early warning check
- After partial payments, to record what remains
What to Include in the Letter
A clear letter gets quicker answers. Include these items.
- Your company name, address and contact person
- The debtor’s exact legal name and licence number
- The balance date. Pick a clear cut-off date.
- The total amount owed, in figures, with the currency
- A list of open invoices, with dates, numbers and amounts
- A simple reply section: “We confirm the balance is correct” or “We dispute the balance, and our figure is…”
- A reply deadline, such as 7 or 14 days
- A signature, name, title and company stamp for the debtor
- A reply address or email
Also, keep the tone neutral. This is a reconciliation request, not a threat.

How to Send It and Collect the Reply
The delivery method affects how strong your proof is.
| Method | Strength | Tip |
|---|---|---|
| Email with the reply attached | Fast, but easier to dispute | Send to the contact on the contract, and keep the headers |
| Courier with signed receipt | Good proof of delivery | Keep the courier receipt |
| Registered post | Good proof of delivery | Keep the acknowledgement |
| Electronic signature platform | Good, if identity and the audit trail are preserved | Save the signed file and the audit log |
| Notary | Strongest | Costs more, so use it for large debts |
Also check that the person who signs has authority. A confirmation signed by a junior employee may be challenged. Ask for a signature from a manager or an authorised signatory, and compare the name with the company’s records. See our guide on how to check a company’s credit in the UAE.
What to Do With the Reply
| Reply | What it means | Next step |
|---|---|---|
| Confirmed | The debtor agrees the amount | File it with your evidence. Move to a payment plan or demand |
| Disputed | The debtor gives a different figure | Reconcile line by line, and record the agreed figure in writing |
| Partly confirmed | The debtor accepts part of the debt | Treat the agreed part as a clear debt and resolve the rest separately |
| No reply | The debtor ignores you | Send one reminder, then a formal demand |
If the debtor stays silent, do not treat silence as agreement. Instead, move to a formal notice and keep your deadline diary updated.
Using the Letter in a Claim
A signed confirmation helps in several routes.
- Payment order. A signed, fixed and due balance fits this fast route.
- Settlement. Use the confirmed balance as the starting point for a written plan.
- Court claim. Attach it with the contract, invoices and delivery proof.
- Mediation. Bring it to the session. See our guide to debt mediation in the UAE.
- Interest. A clear due date helps you calculate interest. See our guide to late payment interest in the UAE.
Do Not Force the Signature
A confirmation must be given freely. Pressure, threats or false statements can damage its value, and a signature obtained under duress can be challenged. Therefore, keep the tone professional and explain that you only need an accurate reconciliation. Also do not misstate the amount, because an inflated figure can backfire.
Illustrative Scenarios
These are simplified examples, not real cases.
Scenario 1: The year-end check. A supplier sends a balance confirmation to every credit customer in December. One customer disputes a returned item. The supplier fixes the invoice, and the customer then confirms the correct figure.
Scenario 2: The old debt. A contractor holds an unpaid balance that is getting old. It asks the client to confirm the amount. The client signs the reply. The contractor keeps it and asks a lawyer how it affects the deadline.
Scenario 3: The weak confirmation. A creditor receives a one-line email, “OK, agreed”, from an unknown address. The email does not state an amount or a date. The creditor must now prove who sent it and what it covered.
Common Mistakes
- Sending no amount or invoice list
- Using a vague reply such as “OK”
- Not asking an authorised signatory
- Skipping proof of delivery
- Leaving out the balance date
- Treating silence as agreement
- Mixing disputed and undisputed items
- Waiting until a claim is filed to ask for confirmation
