Short Summary
A promissory note UAE businesses use is a written, unconditional promise by one person, the issuer, to pay a fixed sum to another person, the payee, on demand or on a set date. It is a commercial paper under Federal Decree-Law No. 50 of 2022. The Dubai Court of Cassation has held that claims against an unendorsed note’s issuer fall under a three-year limitation period. If the issuer does not pay, the holder usually sends a demand and then uses a payment order or a court claim. People sign promissory notes for loans, instalment sales, advance payments and settlements. However, many holders assume a promissory note works like a cheque. It does not. This guide explains how a promissory note UAE law recognises really works in 2026. It covers the requirements, the validity rules, the time limit and the recovery routes. It also includes a sample format you can adapt.

Key Facts About a Promissory Note UAE

  • Definition: an unconditional written promise to pay a specific sum to a named person or to their order.
  • Governing law: Federal Decree-Law No. 50 of 2022 (Commercial Transactions Law), in force since 2 January 2023.
  • Default maturity: if no due date is stated, the note is payable at sight.
  • Limitation: three years against the issuer of an unendorsed note, according to a Dubai Court of Cassation ruling reported by commentary.
  • Compared with a cheque: a cheque has a specific fast-track rule in Article 667. A promissory note is not given the same express rule in the sources I reviewed.
  • Best recovery routes: demand, settlement, payment order or a court claim.
  • Biggest risk: a defective note, because missing details can weaken it.

What Is a Promissory Note?

The Commercial Transactions Law lists promissory notes among commercial papers, together with bills of exchange and cheques. It describes a note as a paper in which the issuer undertakes to pay a specific sum to another person, either at sight or on a fixed or determinable date.

In plain words, the issuer says: “I promise to pay you this amount on this date.” The payee can then hold the note, collect on it or, if it is payable to order, transfer it.

Promissory Note vs Cheque vs Acknowledgement of Debt vs IOU

These documents look similar. They are not the same.

Document Who promises or orders payment Bank involved? Strength
Promissory note The issuer promises to pay No Strong written promise, with formal requirements
Cheque The drawer orders the bank to pay Yes Can be enforced fast under the cheque rules
Acknowledgement of debt The debtor admits a debt No Strong evidence of the debt
IOU or simple note The debtor writes “I owe you” No Weaker, and depends on the wording

What a Valid Promissory Note Should Contain

A note works best when it follows the formal requirements. Commentary on the Commercial Transactions Law points to these elements.

  1. A clear promise to pay. The words “promissory note” or “promise to pay” should appear in the body, in the same language as the note.
  2. An unconditional promise. It must not depend on a future event.
  3. A fixed sum of money, in figures and words.
  4. The payee, by name, or “to the order of” a named person.
  5. The maturity date, or a statement that it is payable at sight. If no date is stated, the law treats it as payable at sight.
  6. The place and date of issue.
  7. The issuer’s signature, with name and licence or ID details.

Also add the contract or loan the note relates to, the place of payment and the governing law. However, keep the note itself simple and unconditional.

Maturity: When Is the Note Due?

The due date decides when interest starts and when time limits begin. There are three common types.

Type Meaning Effect
At sight or on demand Payable when the holder asks Due as soon as it is presented
Fixed date A named day Due on that day
Fixed period after sight For example, 30 days after the holder presents it The issuer must annotate and date that it has seen the note

If the note states no maturity, it is deemed payable at sight. Therefore, always state the date clearly.

Endorsement and Transfer

A note payable to order can be passed on by endorsement. The endorser generally guarantees payment unless it excludes this in the endorsement. As a result, the person who takes the note in the chain can claim against the issuer and against earlier endorsers.

However, this affects the time limit, as explained below. Also, any transfer should be written clearly on the note. If you plan to sell the right to payment instead, see our guide to debt assignment in the UAE.

Time Limits for Promissory Note Claims

Time limits matter more than most holders expect.

A 2025 Dubai Court of Cassation ruling, reported by commentary, clarified the position. The court held that under the Commercial Transactions Law, the obligations of a promissory note issuer are equated to those of a bill of exchange acceptor. Therefore, a claim against the issuer of an unendorsed note falls under a three-year limitation period.

Claim Commonly cited period
Against the issuer of the note Three years
Against endorsers or the drawer One year
Between endorsers, or after payment Six months

The court also noted that evidence of continuing communication about the debt may interrupt the period. However, never rely on that alone. See our guide to the debt limitation period in the UAE, and check your exact deadline with a lawyer. You can read the official text of the Commercial Transactions Law on the Ministry of Economy and Tourism website.

How to Recover Money on an Unpaid Promissory Note

Follow these steps.

  1. Check the note. Confirm the amount, the maturity date, the signature and the issuer’s exact legal name.
  2. Check the deadline. Count three years from the date the claim arose, unless your note was endorsed.
  3. Send a formal demand. Give a clear final date. See our guide to a legal notice for payment in the UAE.
  4. Try a written settlement. A payment plan with security can be faster. See our guide to a debt settlement agreement in the UAE.
  5. Choose the route. A payment order can suit a fixed, due and documented sum. A court claim suits a disputed note.
  6. Check the mediation step. Some claims must start at the court’s settlement centre. See our guide to debt mediation in the UAE.
  7. Claim interest and costs where the law allows. See our guide to late payment interest in the UAE.
  8. Enforce the result. See our guide to bank account attachment and asset seizure in the UAE.

The law also covers protest and precautionary attachment for commercial papers, and the rules on bills of exchange apply to promissory notes. However, the procedure is technical. Therefore, ask a lawyer before you rely on those tools.

Is a Promissory Note Enforceable Like a Cheque?

Not in the same express way, according to the sources I reviewed. The Commercial Transactions Law gives a returned cheque a specific rule that allows it to act as an executive instrument. For a promissory note, the usual route is a demand and then a payment order or a court claim. However, a notarised note or acknowledgement may strengthen your position, depending on the notary’s conditions and the court’s view. Ask a lawyer whether your note qualifies.

Promissory Note or Cheque: Which Is Better?

Factor Promissory note Cheque
Bank check on funds No Yes, on presentation
Fast enforcement rule Not expressly the same Yes, if it qualifies
Time limit Three years against the issuer Two years after the presentation period, per commentary
Flexibility of terms High Limited
Best for Loans and long-term payment promises Payments due on a fixed date

Therefore, many creditors take both: a note for the promise and cheques for each instalment. Ask a lawyer how to structure them.

Promissory Notes in Personal Loans

People also use notes for loans between friends, relatives or business partners. A clear note helps. Include the amount, the repayment date, the loan details and the signature of the borrower. Also keep proof of the money transfer, because the note proves the promise while the bank record proves the transfer.

Illustrative Scenarios

These are simplified examples, not real cases.

Scenario 1: The loan note. A lender gives a business partner AED 200,000 and takes a signed promissory note payable in six months. The partner does not pay. The lender sends a demand, then files a payment order with the note and the bank transfer proof.

Scenario 2: The missing date. A supplier holds a note with no due date. The law treats it as payable at sight. The supplier presents it, and the three-year period starts running.

Scenario 3: The endorsed note. A payee endorses a note to a third party. The new holder sues the issuer a year later. Because the note was endorsed, the holder asks a lawyer which limitation period applies, since commentary describes shorter periods for some claims.

Common Mistakes

  1. Leaving out the amount in words
  2. Making the promise conditional
  3. Forgetting the maturity date
  4. Getting an unclear signature or a company stamp without a name
  5. Using the wrong legal name
  6. Ignoring the three-year deadline
  7. Assuming a note works like a cheque
  8. Failing to keep the proof of the loan
